These Terms of Use (the Terms) govern access to and use of midascircle.com and its related pages (the Site). The Site is operated by IP Provenance Custody LLC, a Delaware limited liability company, Delaware file no. 10465451 (Midas, we, us, or our).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Purpose of the Site

The Site provides general information about Midas, its analytical approach, systems, publications, and areas of activity. Site content is provided for informational and exploratory purposes only.

Nothing on the Site constitutes legal, financial, tax, investment, accounting, real-estate, or other regulated professional advice; an offer or solicitation to buy or sell securities or other assets; a promise of results; or the creation of an advisory, fiduciary, attorney-client, agency, partnership, or other professional relationship.

Any engagement with Midas requires a separate written agreement signed by authorized representatives.

2. Eligibility and Acceptable Use

You may use the Site only if you can legally enter into these Terms. The Site is not directed to children under 16.

You agree not to:

• use the Site unlawfully, fraudulently, or to harm others;
• attempt to gain unauthorized access to the Site or related systems;
• interfere with security, availability, or operation of the Site;
• introduce malicious code or conduct automated scraping that materially burdens the Site;
• impersonate another person or misrepresent your affiliation;
• copy, republish, or commercially exploit Site content except as permitted by law or with our written consent; or
• use Site content to develop a competing product or service without our written permission.

3. Inquiries and Submitted Information

If you contact us through the Site, you represent that the information you provide is accurate and that you are authorized to provide it. Do not submit confidential, privileged, classified, export-controlled, sensitive personal, or third-party information unless we have expressly agreed in writing to receive it.

Submitting an inquiry does not create an engagement or obligate either party to proceed. We may decline or discontinue exploratory discussions at our discretion.

4. Intellectual Property

The Site and its content, including text, graphics, branding, methods, structure, design, downloads, and other materials, are owned by or licensed to Midas and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your own lawful, non-commercial informational purposes. No other rights are granted by implication, estoppel, or otherwise.

Third-party names, marks, and content remain the property of their respective owners.

5. Third-Party Links and Services

The Site may link to third-party websites, maps, social networks, documents, or services. We do not control and are not responsible for their content, availability, security, or privacy practices. A link does not imply endorsement. Your use of third-party services is governed by their terms and policies.

6. No Warranties

To the fullest extent permitted by law, the Site is provided as is and as available. We disclaim all express, implied, and statutory warranties, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, non-infringement, security, and uninterrupted availability.

We do not warrant that Site content is current or suitable for any particular decision. You are responsible for obtaining independent professional advice and verifying information before acting on it.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

7. Limitation of Liability

To the fullest extent permitted by law, Midas and its affiliates, members, managers, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, opportunity, goodwill, or data; or damages arising from reliance on Site content, inability to use the Site, or third-party services.

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Site or these Terms will not exceed USD 100.

These limitations do not apply where prohibited by law, including liability that cannot be excluded for fraud, willful misconduct, gross negligence, death, personal injury, or mandatory consumer rights.

8. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Midas and its affiliates, members, managers, officers, employees, contractors, and agents from claims, losses, liabilities, and reasonable costs arising from your unlawful use of the Site, your violation of these Terms, or your infringement of another person's rights.

This section does not apply to consumers where prohibited by applicable law.

9. Privacy

Our processing of personal information is described in our Privacy Policy. By using the Site, you acknowledge that policy.

10. Changes and Availability

We may modify, suspend, or discontinue any part of the Site. We may update these Terms by posting a revised version and changing the effective date. Material changes apply prospectively. Continued use after changes take effect constitutes acceptance where permitted by law.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Subject to mandatory law, the state and federal courts located in Delaware have exclusive jurisdiction over disputes arising from the Site or these Terms.

If you are a consumer, this choice does not deprive you of mandatory protections or access to competent courts available under the law of your habitual residence, including applicable protections in the European Union, Poland, or Ukraine.

Before filing a claim, the parties should attempt in good faith for 30 days to resolve the dispute by written notice, unless urgent injunctive relief is required or applicable law provides otherwise.

12. General

If any provision is unenforceable, it will be limited or removed to the minimum extent necessary, and the remainder will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, financing, or transfer of business or assets. These Terms and the Privacy Policy constitute the entire agreement regarding use of the Site, unless a separate written agreement applies.
